Terms of Use
These Terms of Use ("Terms") govern your access to and use of neuralvortex.life (the "Site") operated by NeuralVortex Inc., a British Columbia corporation with registered office at 666 Burrard Street, Suite 1700, Vancouver, BC V6C 2X8, Canada ("NeuralVortex," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
Separate written agreements govern paid consultancy engagements. Where a signed contract conflicts with these Terms regarding services, the signed contract prevails for that engagement.
1. About NeuralVortex
NeuralVortex provides AI automation and operations consultancy services to business clients. The Site is an informational and contact channel. Content on the Site does not constitute professional advice tailored to your circumstances until confirmed under a formal engagement.
2. Eligibility and acceptable use
You must be at least eighteen years old and have authority to bind any organisation on whose behalf you submit enquiries. You agree to use the Site lawfully and not to:
- Transmit unlawful, harmful, fraudulent, or misleading content.
- Attempt unauthorised access to our systems, networks, or data.
- Interfere with Site operation through automated scraping, denial-of-service activity, or introduction of malware.
- Harvest personal information of other users without consent.
- Misrepresent your identity or affiliation.
- Use the Site in violation of applicable Canadian or international law.
We may suspend or terminate access for conduct we reasonably believe violates these Terms or poses risk to the Site, our users, or third parties.
3. Intellectual property
All content on the Site — including text, graphics, logos, layout, and software — is owned by NeuralVortex or licensed to us and protected by copyright, trademark, and other intellectual property laws. You may view and print pages for personal, non-commercial reference. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit Site content without our prior written consent.
"NeuralVortex" and associated marks are trademarks of NeuralVortex Inc. Unauthorised use is prohibited.
4. Enquiries and no automatic engagement
Submitting a contact form or email does not create a client relationship or obligation to provide services. We reserve the right to decline enquiries at our discretion. Any project, audit, or retainer arrangement requires a separate written agreement specifying scope, fees, timelines, and deliverables.
5. Disclaimer of warranties
The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by applicable law.
We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components. Case summaries and service descriptions are illustrative. Results vary based on client environment, data quality, and adoption.
6. Limitation of liability
To the maximum extent permitted by applicable law, NeuralVortex Inc. and its directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to your use of the Site, even if advised of the possibility of such damages.
Our aggregate liability for claims arising from Site use shall not exceed one hundred Canadian dollars (CAD $100), except where liability cannot be excluded or limited under applicable law — including certain consumer protection provisions that may apply despite these Terms.
7. Indemnification
You agree to indemnify and hold harmless NeuralVortex and its personnel from claims, damages, losses, and expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of the Site, or infringement of third-party rights through content you submit.
8. Third-party links and tools
The Site may reference or link to third-party websites, APIs, or documentation. We do not control and are not responsible for third-party content, availability, or privacy practices. Your use of third-party services is at your own risk and subject to their terms.
9. Privacy
Our collection and use of personal information is described in our Privacy Policy, incorporated by reference into these Terms. By using the Site, you acknowledge that policy.
10. Governing law and jurisdiction
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for disputes arising from these Terms or Site use, except where mandatory consumer protection rules require otherwise.
11. Changes
We may revise these Terms at any time by posting an updated version on the Site with a revised effective date. Material changes will be indicated by updating the date above. Continued use after changes constitutes acceptance. Review these Terms periodically.
12. Severability and waiver
If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision does not waive our right to enforce it later.
13. Entire agreement for Site use
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement regarding Site access and supersede prior oral or written understandings on that subject, excluding separate service contracts for paid engagements.
15. Force majeure
NeuralVortex shall not be liable for delays or failures in performance resulting from events beyond our reasonable control, including natural disasters, power or network outages, government actions, labour disputes, or failures of third-party infrastructure not caused by our negligence.
16. Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, corporate reorganisation, or sale of assets, provided the assignee agrees to honour these Terms for Site use.
17. Language
These Terms are drafted in English. Any translated version is provided for convenience only. In the event of conflict, the English version governs to the extent permitted by law.
18. Feedback
If you submit suggestions, ideas, or feedback about the Site or our services, you grant NeuralVortex a non-exclusive, royalty-free, perpetual licence to use that feedback for any purpose without obligation to you, except where a signed engagement agreement specifies different terms for project deliverables.
20. Electronic communications
By submitting an enquiry through the Site, you consent to receive electronic responses from NeuralVortex at the email address provided. You may opt out of non-essential marketing communications at any time; transactional and service-related messages may still be sent where necessary to respond to your request or perform a contract.
22. Survival
Provisions that by their nature should survive termination — including intellectual property, disclaimer of warranties, limitation of liability, indemnification, and governing law — survive any cessation of Site use.
24. Headings
Section headings in these Terms are for convenience only and do not affect interpretation. References to "including" or "includes" mean including or includes without limitation, unless the context requires otherwise.
26. No waiver of consumer rights
Nothing in these Terms excludes or limits rights that cannot be excluded or limited under applicable consumer protection legislation in British Columbia or Canada. Where conflict arises, mandatory statutory rights prevail to the extent required by law.
